GVHBA Bylaws

NEW GVHBA BYLAWS APPROVED AT SPECIAL MEETING OF MEMBERS

At the June 2, 2010 Special Meeting of Members, the GVHBA members in attendance approved a new set of bylaws for the GVHBA to ensure the association is following best governance practices and is compliant with its legal obligations. The new bylaws were drafted by GVHBA member Kuhn & Company.

1. We have added a specific membership category for Renovators and Financial Service Providers;
2. We have replaced the complicated disciplinary procedure with a much simpler procedure;
3. The process for electing the Directors and Officers has stayed the same, but we have replaced the designations. The officers will now hold the positions of Chairman, First Vice-Chairman, Second Vice-Chairman, Secretary and Treasurer; and
4. The administrative chief of the GVHBA will now be called the President and Chief Executive Officer;

The new bylaws ensure that the GVHBA:

• Continues to provide its members with transparency and accountability in its operations; and
• Continues to express commitment to member democracy with respect to such matters as access to information, nominations, resolutions, annual meetings and elections.
